A mainland company is licensed by the Department of Economic Development (DED) and can trade directly anywhere in the UAE, including with government entities. A freezone company is licensed by a specific free economic zone authority and benefits from 100% foreign ownership and tax exemptions, but is generally restricted from trading directly within the UAE mainland without a local distributor or mainland branch. The right structure depends on your target market and business activities.

Since the 2021 amendments to the UAE Commercial Companies Law, foreign investors can hold 100% ownership in mainland companies across most commercial and professional activities — the requirement for a UAE national shareholder has been removed for the majority of sectors. Freezone companies have always permitted full foreign ownership.

The timeline varies by structure and jurisdiction. A freezone setup can often be completed in a few days to two weeks once documents are in order. Mainland company formation typically takes two to four weeks, depending on the licensing authority and any approvals required for regulated activities.
