Freezone Company Formation — Key Questions
There are more than 45 freezones across the UAE, spread across all seven emirates. Each is administered by its own authority and focuses on specific sectors or activities — from DMCC for commodities and trading, to DIFC and ADGM for financial services, to Dubai Internet City and Dubai Silicon Oasis for technology, to industrial-focused zones in Abu Dhabi and Sharjah.
A freezone company cannot directly sell goods or services to the UAE mainland without engaging a licensed mainland distributor or establishing a mainland branch. Services delivered digitally or remotely are treated differently and are generally permissible. If your primary customers are UAE mainland businesses or consumers, a mainland licence may be more appropriate, or a dual-entity structure can be considered.
Visa allocations depend on the freezone and the type of office package chosen. A flexi-desk or virtual office package may allow one to two visas; a dedicated office entitles you to more. The shareholder or director of the freezone company can apply for a UAE residence visa, and employees can be sponsored under the company. We advise on the visa quota relevant to your chosen zone and package.
UAE Corporate Tax (effective June 2023) applies to taxable income above AED 375,000 at a 9% rate. Qualifying freezone entities can benefit from a 0% rate on qualifying income, provided they meet specific conditions set by the Federal Tax Authority — including not conducting business with the UAE mainland. Annual licence renewal is required and must be completed before the expiry date to avoid penalties. Depending on the freezone and activity, you may also have audited financial statement requirements, corporate tax registration and filing obligations, substance requirements for certain activities, and compliance with MOHRE regulations if you employ staff.
